Specific Terms and Conditions

    1. These Specific Terms and Conditions are appropriate for transactions made through the Business Support Club Website: app.bsc.co.uk.
    2. These are the terms and conditions under which we will supply goods and services to you. In ordering any goods and services from us, you agree to be bound by these terms and conditions.
    3. Definitions

      “Just Limited”, “justlimited.co.uk”"Business Support Club ", "app.bsc.co.uk", "we", "us" or "ourselves" means SKILLSERVE TECH LTD of Bartle House, Oxford Court, Manchester, M2 3WQ.

      Website means “app.bsc.co.uk”, www.bsc.co.uk” or “justlimited.co.uk”

    4. Customer Responsibilities
      1. You must co-operate with us in all matters relating to the Services, provide us with all information necessary for provision of the services and obtain any relevant licences and consents.
      2. If the Customer fails to comply with the above, they will be in default which will entitle us to suspend provision of any services. In event that the Customer fails to remedy any issue that we Terms and Conditions for the Sale of Goods and Services to the Consumer notify to them within 7 calendar days, we reserve the right to terminate the contract with immediate effect on written notice.
    5. Ordering
      1. All orders placed using our Website are deemed an offer by you, the customer, to purchase the product or service described during the checkout process.
      2. You are required to make payment by credit or debit card, PayPal or by prior arrangement with the Business Support Club whereby they will invoice you for the relevant fees. From time to time there may be delays with the processing of card payments and transactions, this may result in payments taking up to sixty (60) days to be deducted from your bank account or charged to your credit or debit card.
      3. It is your responsibility to ensure that information provided to us is accurate and up to date on the day purchase. In placing your order, you accept that we may need to carry out additional checks on your identity. This is done at our discretion and it is your responsibility to ensure that you provide the requested documentation. This can be, but is not limited to; a proof of address dated within the last month, valid passport, valid driving license or birth certificate. We may check your identity using an identity check service, in which case we will contact you to inform you of this step.
      4. It is your responsibility to ensure that the information submitted to us is correct and up to date. If any information is rejected upon submission to Companies House, the responsibility to correct this error, rests with you, the customer. We recommend checking your data before submitting your application. We provide a summary page for this reason.
      5. Whilst we submit checks to ensure that the name you choose for your company is available, it is up to you to double check and confirm this fact before submitting your application. It is also advised to check that your chosen company name meets Companies House requirements. If your company name is rejected by Companies House we will not accept responsibility for costs arising from making changes.
      6. Whilst ordering your company formation, we offer you additional products or services. It is your duty to ensure that you research and understand these options before adding them to your order. Submitting an order with any additional products selected will imply that you understand and are happy to proceed with these options. It is your responsibility to seek extra information/clarification on products before submitting an order. Not understanding what is included in your purchase is not a sufficient reason for cancellation or refund. Any disputes with additional purchases should be made via written communication to Just Limited we will endeavour to respond to any complaints/queries within 3 working days, however, this is not a guarantee and during busy periods this may be longer. We will make all reasonable efforts to reply to your messages as soon as possible.
      7. By accepting these terms and conditions, you give us, SKILLSERVE TECH Ltd and our partners authorisation to submit documents to Companies House on your behalf. You are appointing us as a representative to act on behalf of you and your company for the purpose of company formation and, in instances where you have requested further services from us, we may file the following documents: AP01 , AP02 , AP03 , AP04 , TM01 , TM02 , SH01 , AD01 , AD02 , CH01 and also CH02 .
      8. Accepting these terms and conditions is taken as binding permission for us to use the payment method taken at checkout on an ongoing basis to provide products and services indicated with /week, /month, /year (subscriptions). It is your responsibility to communicate to us in writing/through your order management that you wish to cancel a product or service. Each subscription item added to your cart during checkout MUST be cancelled separately. For subscription products, our payment partner and processor is Stripe Inc. If you would like to change your method of payment, you must communicate with Just Limited in writing either through Business Support Club or email.
      9. We will not accept legal responsibility if the company is removed from the register as a result of you choosing to cancel any product or service purchased through Just Limited or if we stop providing a service to you due to a missed or cancelled payment without our express written consent or permission.
      10. Accepting these terms and conditions is taken as binding permission for us to use the payment method taken at checkout on an ongoing basis to provide products and services indicated with /week, /month, /year (subscriptions). It is your responsibility to communicate to us in writing/through your order management that you wish to cancel a product or service.       11. We indicate any payment that is taken on a regular basis by using the following indicators during the selection of a product:
        1. /Week – a weekly payment, taken by Stripe Inc. Check Stripe Inc’s Terms and conditions to gain a full understanding of what day this payment will be taken with respect to your original payment.
        2. /Month - a monthly payment, taken by Stripe Inc. Check Stripe Inc’s Terms and conditions to gain a full understanding of what day this payment will be taken with respect to your original payment.
        3. /Year – An annual payment, taken by Stripe Inc. Check Stripe Inc’s Terms and conditions to gain a full understanding of what day this payment will be taken with respect to your original payment.
      12. We reserve the right to increase prices on subscriptions in April each year by the CPI OR RPI, whichever is higher. We will inform you of any price increases at least 1 month in advance.
    6. What you get
      1. SKILLSERVE TECH LTD and out partners are permitted by Companies House to file company incorporations and documents using computer facilities made available by the registrar. We are not the only company permitted to do so.
      2. We will automatically file your company formation and start to process any additional purchases immediately during normal business hours (9-5 GMT Mon to Friday). Subject to verifying your identity and checking your submission. It is not guaranteed that your company will be formed in a 24hour window, but we expect this timeframe to be accurate.
      3. You will receive paperwork through our site, Business Support Club, where documents can be viewed in the ‘attachments’ section of an order.
      4. Any other purchases will have their own order management page on Business Support Club where you can get in touch with us about the order and see any documents that are relevant to your purchase.
      5. Our products, unless specified, will not incorporate any one of the following in terms of any of the deals we advertise for sale on our Website:
        1. Accountancy advisory services, tax counseling, auditing of your books, and processing of yearly business accounts or additional services not explicitly stated
      6. We recommend seeking independent legal advice before forming a company with us. It is your responsibility to ensure that you understand ad abide by the guidelines set out in The Companies Act 2006. Whilst we form the company, we accept no liability for the conduct of you, or those appointed by you in your position of a company director.
      7. The price for all products and services are shown and clearly displayed. Prices shown are inclusive of VAT where applicable.
      8. The entire cost of your purchase will be shown to you prior to checkout and clearly displayed. Be aware that prices on checkout do not display future fees for subscription services.
      9. We have the right to change prices on our website at any time and will endeavour to make sure that prices are current and up to date. Where there is a pricing error we will inform you and offer a full refund. Any purchases made where we deem a price error will be voided by us.
    7. Incorporation of General Terms and Conditions
      1. These Specific Terms and Conditions need to be seen and understood in conjunction with the General Terms and Conditions of Business Support Club.
    8. Registered Office Address Terms & Conditions
      1. If directors service address is purchased either up front (£150 PA) or Monthly (£15PCM), your company (the same company incorporated under the terms of this agreement), will be able to use the address as a service and registered office address. This means you can use it in your marketing and advertising materials, on your website and when dealing with clients. You may not use the address as a principal place of business address for banking, tax or government filings. If you fail to make a payment for use of the address we will take reasonable means to contact you and arrange for payment. If this is not forthcoming, we reserve the right to move the directors service address to your home address.
      2. If paying monthly, one months’ notice must be given for cancellation. It is your responsibility to ensure that you move your company from our address. If you do not do so we will take action to move the company address to your home address and charge a £15 admin fee to do so.
      3. If paying annually, you can cancel any time up to the year anniversary of your purchase after which we will issue an invoice and take the next years payment. There is a 14 day grace period where we will refund this transaction. It is your responsibility to ensure that you move your company from our address. If you do not do so we will take action to move the company address to your home address and charge a £15 admin fee to do so.
      4. We electronically forward scanned copies of any Companies House or HMRC mail to your address as part of this purchase. By purchasing this package you give us permission to open Companies House or HMRC signified mail in order to send aforementioned scans. You may opt out of this and pay a surcharge to have unopened letters to your physical address. Our charge is £1 per letter and they will be sent on a weekly basis unless you request priority delivery. Mail can be picked up from the office at any time between 9 and 5 Monday to Friday, you will need to bring with you a copy of your ID. All other mail will be dealt with on a case by case basis and we will contact you with forwarding prices weekly.
    9. Refund Policy
      1. You may request a refund on your company formation before we have submitted documents to Companies House. In this instance we will refund you all moneyed paid minus a £12 administration fee to partially cover our administration expenses. You must request refunds as soon as possible through business support club or email.
    1. Privacy
      1. Your privacy is extremely important to us. We respect your privacy and comply with the Data Protection Act 2018 in regard to the processing of your personal information.
      2. These Terms and Conditions should be read alongside and are in addition to our policies including our privacy policy and cookies policy.
      3. We are the Data Controller of the personal data we process in providing the goods and services to you.
      4. Where you provide personal data to us so we can provide Goods and Services to you, and we process that personal data in the course of providing those Goods and Services to you, we will comply with our obligations imposed by the data protection laws.
    2. Governing law, jurisdiction and complaints
      1. The Contract (including any non-contractual matters) is governed by the laws of England and Wales.
      2. Disputes can be submitted to the jurisdiction of the courts of England and Wales or, where the Customer lives in Scotland or Northern Ireland, in the courts of Scotland or Northern Ireland respectively.
